Intel Pci Serial Port Driver Dq45cb

I have the board above with Win XP64 installed. I have all the XP64 drivers installed except for one: PCI Serial Port. From what I've read it looks like it belongs to AMT. Is there a XP64 Driver for it somewhere else? Do I need it, can I disable it if I don't need it? However device manager shows that there is a PCI serial port not recognized as well as a PCI Simple Communications Contoller also not recognized. I have installed all the pertinent software and had the automated Intel® Driver Update Utility to check on newer driver versions and or missing drivers. It recognized all other drivers except the PCI Serial Port. (LMS) and Serial-over-LAN (SOL) support for Intel Active Management Technology (AMT) for the supported desktop models and operating systems. Issue:
After the installation of Microsoft Windows operating system using retail editions of operating system media, the PCI Serial Port listed under Other devices in the Device Manager, indicates a yellow mark.

This is applicable for system installed with retail editions of Microsoft Windows 2000, XP professional, Vista Business, Enterprise and Ultimate, Versions of operating systems.
Installing the drivers for Intel AMT LMS_SOL for AMT 3.xx will resolve the issue. The required driver file is sp38610.exe (8.3 MB). After installing the driver, the system needs to be restarted.

The PCI Serial Port driver is used by Intel Active Management Technology (AMT) for emulating serial communication over a standard network connection.
